Crucial Commercial Notice to All Organisers, Planners & Exhibitors

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR UTILIZING THE EVENIR PLATFORM, SOFTWARE, APPLICATION PROGRAMMING INTERFACES (APIS), PROGRESSIVE WEB APPLICATIONS (PWAS), OR MICROSITES. BY PURCHASING SITE ACCESS, INITIALIZING AN EVENT WORKSPACE, OR LOGGING INTO AN ACCOUNT, YOU EXPRESSLY ACCEPT AND AGREE TO BE BOUND BY ALL COVENANTS CONTAINED HEREIN, INCLUDING OUR STRICT NO-REFUNDS POLICY AND COMPREHENSIVE LIMITATION OF LIABILITY REGARDING CYBER ATTACKS, DATA CENTRE OUTAGES, AND TELECOMMUNICATION FAILURES.

1. Identity of Provider & Contractual Capacity

These Terms and Conditions of Use ("Terms", "Agreement") constitute a legally binding contractual covenant between you (the "Client", "Organiser", "Exhibitor", "User", or "You") and Evenir ("Evenir", "we", "us", or "our"), governing all use of the cloud-hosted software-as-a-service platform located at evenir.co.uk and all affiliated subdomains, microsites, scanner apps, and portal APIs.

If you are entering into this Agreement on behalf of a company, event management agency, enterprise, or other legal entity, you represent and warrant that you possess full legal authority to bind such entity to these Terms. If you lack such authority, you must not access or utilize the Evenir platform.

2. Service Provision & Multi-Tenant Access

Evenir provisions a proprietary, multi-tenant digital event operations suite including, but not limited to: event landing pages, dynamic microsite CMS capabilities, native registration forms, multi-booking links, attendee wallet passes, interactive exhibitor directories (EZone), offline Progressive Web App (PWA) badge scanners, 2D floor plans, B2B matchmaking, speaker proposal management (CFP), 4-digit PIN AV stage hubs, and automated CPD certificates.

Evenir grants You a non-exclusive, non-transferable, revocable, worldwide license to access and utilize the platform solely for lawful event production, exhibition management, and attendee credentialing purposes in accordance with your contracted plan tier or purchased scanner licenses.

Strict Commercial Policy

3. Strict No-Refunds Policy Upon Provisioning of Site Access

ALL PURCHASES, SUBSCRIPTIONS, SCANNER LICENSES, AND EVENT WORKSPACE ACCESS FEES ARE STRICTLY NON-REFUNDABLE AND NON-CANCELLABLE.

Upon execution of payment—whether through our integrated Stripe checkout portal, credit card authorization, or commercial bank wire invoice—access to the platform software, storage allocations, database tenant partitions, and associated server bandwidth is provisioned instantly. Because Evenir delivers immediate digital access and incurs upfront cloud resource reservations, NO REFUNDS OR CREDITS SHALL BE ISSUED UNDER ANY CIRCUMSTANCES.

This absolute no-refund covenant applies unconditionally, including but not limited to instances where:

  • The Organiser cancels, postpones, reschedules, downsizes, or reconfigures their live event, exhibition, summit, or trade show for any reason whatsoever;
  • The Organiser fails to utilize the software, microsite, scanner licenses, or attendee check-in quota prior to event conclusion;
  • The Organiser experiences lower-than-anticipated ticket sales, attendee turnouts, or exhibitor participation;
  • Adverse weather conditions, transport disruptions, venue contract disputes, labor strikes, or local municipal ordinances impact the scheduled physical event; or
  • Any technical disruption, carrier outage, or force majeure event occurs as detailed in Sections 5, 6, and 7 below.

4. Disclaimer of Warranties ("As Is" & "As Available")

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EVENIR PLATFORM, CODEBASE, CLOUD STORAGE, PWAS, BADGE SCANNING ENGINES, AND ALL ASSOCIATED SERVICES ARE PROVIDED ENTIRELY ON AN "AS IS" AND "AS AVAILABLE" BASIS.

EVENIR EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, UNINTERRUPTED AVAILABILITY, OR ERROR-FREE EXECUTION.

5. Comprehensive Immunity: Internet Disruptions, Carriers & Venue Infrastructure

The performance, responsiveness, and availability of digital event microsites, video hero banners, badge check-ins, and cloud streaming are inherently dependent upon the global internet ecosystem, third-party internet service providers (ISPs), public DNS resolvers, cellular telecommunication carriers, and on-site event venue infrastructure.

Evenir disclaims all liability and shall have zero financial or legal responsibility for:

  • Venue Wi-Fi & Cellular Dead Zones: Total or partial lack of Wi-Fi or 4G/5G mobile reception inside physical convention centres, exhibition halls, subterranean basements, or outdoor marquees;
  • Upstream Internet Service Disruptions: Latency, packet loss, fiber optic cuts, ISP routing blackouts, BGP hijackings, or global telecommunication degradation;
  • Third-Party Gateways & Ticketing Providers: Outages or service denials occurring within Stripe, Eventbrite, Ticketmaster, Universe, Cvent, Twilio, or Mailchimp/Mandrill;
  • Hardware & Hardware Printer Malfunctions: Thermal badge printer malfunctions, incompatible Bluetooth barcode scanners, depleted device batteries, or malfunctioning attendee mobile screens.

*Evenir provisions an offline Progressive Web App (PWA) caching engine to assist stand representatives during connectivity loss; however, the client acknowledges that offline functionality relies entirely on local browser storage and hardware operating conditions.

6. Cyber Attacks, Malicious Intrusions & Zero-Day Exploits

Evenir enforces robust enterprise security safeguards, including TLS 1.3 transport encryption, parameter sanitization, rate-limiting algorithms, cryptographic password hashing (bcrypt), anti-CSRF token verification, and session timeout monitors.

Notwithstanding the foregoing security controls, Evenir provides zero warranty of absolute invulnerability against sophisticated, malicious criminal threat actors. Evenir shall bear NO LEGAL OR FINANCIAL LIABILITY for damages, business interruption, loss of reputation, or compromise of data arising directly or indirectly from:

  • Distributed Denial of Service (DDoS) attacks, SYN floods, or malicious volumetric bandwidth saturation directed against Evenir, our data centres, or CDN providers;
  • Zero-day software exploits or vulnerabilities discovered within third-party operating systems, database engines (MySQL/MariaDB), web server software, or PHP runtimes;
  • Ransomware, malware, or advanced persistent threats (APTs) engineered by hostile state actors, syndicates, or unauthorized third parties; or
  • Account compromises caused by weak organiser passwords, credential stuffing, phishing attacks directed against organiser staff, or negligence in safeguarding login sessions and 4-digit AV pins.

7. Data Centre Hardware Failures & Cloud Provider Outages

Evenir’s cloud infrastructure utilizes enterprise hyper-scale cloud facilities and content delivery networks (including Amazon Web Services, Cloudflare, and Laravel Cloud). While our multi-tenant architecture is engineered for continuous resilience, Evenir does not maintain physical ownership of commercial data centres.

You expressly acknowledge and agree that Evenir shall NOT be liable for any downtime, loss of event registrations, missing attendee passes, uncaptured leads, or missed sales caused by:

  • Power grid failures, backup diesel generator malfunctions, or cooling failures in commercial data centres;
  • Physical damage, fires, floods, or natural disasters impacting cloud server racks;
  • Cloud hypervisor panics, host machine hardware crashes, or distributed file system corruptions beyond Evenir's administrative control; or
  • Emergency security maintenance mandated by hyper-scale infrastructure providers.

8. Limitation of Monetary Liability & Damages Cap

CAP ON AGGREGATE MONETARY LIABILITY

UNDER NO CIRCUMSTANCES SHALL EVENIR, ITS FOUNDERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF EVENT REVENUE, LOST TICKET SALES, FORFEITED SPONSORSHIP DEALS, LOSS OF ACCREDITATION, REPUTATIONAL DAMAGE, OR LOSS OF ATTENDEE DATA.

TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAWS OF ENGLAND AND WALES, EVENIR’S MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PROVISION OF OUR PLATFORM SERVICES—WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE—SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE ACTUAL MONETARY FEES PAID BY YOU TO EVENIR FOR ACCESS TO THE SPECIFIC EVENT WORKSPACE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE CLAIM, OR £100.00 (ONE HUNDRED BRITISH POUNDS STERLING), WHICHEVER IS LESS.

9. Organiser Responsibilities & Indemnification

You agree to defend, indemnify, and hold harmless Evenir, its directors, officers, agents, and contractors from and against any and all claims, damages, liabilities, losses, judgments, penalties, fines, costs, and expenses (including legal fees and court disbursements) arising out of or related to:

  • Your violation of this Agreement, acceptable use policies, or applicable local laws;
  • Any content, logos, keynote videos, speaker slide decks, or brochure documents uploaded to your microsite or media buckets;
  • Any commercial, contractual, or physical disputes between you and your attendees, delegates, speakers, exhibitors, or venue owners; or
  • Any claim that your event registration collection violates attendee data rights due to your failure to provide adequate event privacy notices or obtain consent.

10. Force Majeure

Neither party shall be held in breach of these Terms, nor incur liability to the other party, for failure or delay in performing obligations (other than payment covenants) resulting from circumstances beyond its reasonable control. Such events include acts of God, earthquakes, fires, floods, pandemics, epidemics, national emergencies, state lockdowns, strikes, lockouts, civil unrest, acts of terrorism, war, solar geomagnetic disturbances, sovereign regulatory restrictions, or critical utility blackouts.

11. Governing Law, Dispute Resolution & English Jurisdiction

These Terms and any dispute, controversy, or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Each party irrevocably agrees that the courts of London, England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
